Partner Filippo Bianchi is in the Corporate group with more than twenty years of experience and a particular focus in the banking and finance sector. His main areas of focus include acquisition financing, project financing (infrastructure, transportation and energy), corporate lending and real estate financing transactions. He also advises on real estate and corporate matters.
Mr. Bianchi advises banks, financial institutions and sponsor companies on bilateral and syndicated lending deals, performance guarantees, and security packages in both domestic and cross-border transactions.
Mr. Bianchi has considerable experience in assisting financial institutions and companies, both Italian and international, in financing transactions. In particular, he assists leading banking groups in project finance procedures, export finance, financing supported by export credit agencies, corporate acquisitions, infrastructure development, real estate development projects, and the construction of plants for the production of electricity from renewable sources, both at a domestic and multijurisdictional level.
Examples of Mr. Bianchi's advice include the negotiation and drafting of term sheets, mandates, engagement letters, bilateral and syndicated financing agreements, both for cash and for signature, leveraged buy-outs, equity and quasi-equity financing (such as revolving, pooled, limited recourse, subordinated, soft loan, bridge loan, mezzanine), and security packages (such as pledge on shares, pledge on trademarks, pledge on receivables, special liens), as well as mortgage loan agreements and interbank agreements.
He has negotiated and drafted loans based on LMA (Loan Market Association) documentation and a wide spectrum of financing agreements in relation to project financing operations (as well as all types of loans and related financial documents), including the structuring and drafting of collateral contracts. He advises on the negotiation and drafting of securities lending contracts, first demand guarantees, bank guarantees, letters of patronage, as well as waivers and amending agreements, and on the structuring and execution of securitization transactions, including the drafting of offer circulars and any other documents relating to the offer, as well as assistance in any interaction with the competent supervisory authorities.
Prior to joining Curtis, Mr. Bianchi worked for a number of years in the banking and finance departments of a large international law firm and a leading Italian law firm, both in Milan and Rome.
