Giovanni Sagramoso

Mr. Sagramoso advises Italian and international corporations, banks and other clients on their operations, day to day regulatory matters, and all corporate matters. His clients span the banking, insurance, technology and professional services sectors, as well as industrials, logistics and fashion. He regularly assists his clients in Mid Cap M&A transactions and in the related acquisition financing arrangements.

Throughout his career, Mr. Sagramoso has been appointed board member of multiple companies for his strategic and legal insight. He is currently serving as Chairman of the Board of Statutory Auditors of two Italian financial companies supervised by the Bank of Italy, in which capacity he advises on compliance and regulatory matters. He also has extensive experience of working with joint ventures for international professional services firms.

Mr. Sagramoso has assisted banks, financial institutions, auditing companies and private individuals in financial and securities litigations related to main Italian and international cases such as Argentina bonds, Cirio bonds, Parmalat and Maddof related litigations, as well as the Lehman Brothers bankruptcy.

He has represented one of the main global auditing and professional services networks in litigation concerning auditors’ professional liability and has advised banks in Italy and Switzerland on cross-border issues.

Within Italy, he has advised the government-appointed trustees in the dissolution procedure of the companies controlled by EFIM, a major Italian public conglomerate dissolved through a special ad hoc procedure. He also advised the trustees appointed by the Treasury Minister and by the Bank of Italy of supervised enterprises in organizational and/or financial crisis.

Mr. Sagramoso advises companies in the green energy markets in Italy and on the set up and structuring of joint ventures and co-investment vehicles for the development and construction of energy infrastructure internationally. He has considerable experience gained in Europe and the U.S. in the regulatory and construction aspects of developing alternative energy, in particular biogas plants for the production of electrical energy.

Mr. Sagramoso has represented international and domestic companies in the acquisition and financing of buildings and other real estate assets in the Italian market.
